Job Description

Elwood is seeking a Senior Tax Manager to join our Legal team in London. As part of the role, the individual will have broad responsibilities for both UK and non-UK tax matters, as outlined below. The role requires the individual to work closely with internal members of staff and external professional advisors. 

Responsibilities 

• ​​Advise on structuring and establishment of non-US and US tax matters, investor tax reporting requirements and relevant tax elections required. 
• Ongoing monitoring to ensure that appropriate trading safe harbour conditions continue to be adhered to. 
• Advise on corporate group restructuring, investment and divestment transactions in different overseas jurisdictions, including review and comment on relevant legal documentation effecting the transaction, to ensure that the legal structure of the group is robust and efficient from a tax perspective.
• Review and comment on legal documentation, investor side letter requests and tax due diligence questionnaires.
• Monitor industry developments to ensure that new legislation and regulations are appropriately considered from a tax perspective and the appropriate action is taken.
• Working with external professional advisors, manage the preparation and submission of corporate and partnership tax returns for the group entities as well as tax disclosures for the annual financial statements. Regular review of ASC 740 analysis to ensure appropriate disclosure is included in the annual financial statements.
• Oversee annual AEOI reporting (e.g. FATCA, CRS) as well as US / UK investor tax reporting (e.g. PFIC / K-1 / UKRFS).
• Respond to ad-hoc tax queries relating to corporate, employment, indirect and tax matters, liaising with professional advisers as necessary.

Qualifications / Knowledge

• 4+ years PQE
• Relevant accounting / tax qualification (ACA or equivalent)
• Financial services / Investment management experience
• Exposure to LLP / partnership tax matters (desirable)
• UK and international tax experience
• Good IT skills, especially Excel
• US tax knowledge and/or experience
• Employment tax / IR35 knowledge and / or experience (Desirable) 
• Proactive, self-motivated and a team player
• Detail-oriented with the ability to make quick and accurate decisions in a fast-paced environment
• Motivation to succeed and deliver results in line with expectations
• Ability to understand challenging problems, find solutions and drive process improvement
