Guild is hiring a Stock Plan Administrator. This role will be responsible for the day-to-day activities of the company’s equity plan. The ideal candidate is thoroughly familiar with equity incentive plans including stock options, Restricted Stock Units (RSUs) and Employee Stock Purchase Plans (ESPP). The Stock Administrator is a member of the Finance team and will interface extensively with the following teams: People, Payroll, Legal, Technical Accounting, Financial Planning & Analysis, Tax, and both internal and external audit. We are looking for a stock administrator who will assist in scaling the company’s stock administration function as we grow rapidly.

As the Stock Plan Administrator, you will:

  • Process participant account updates and transactional activity related to grants, vesting, releases, exercises, settlements, terminations, cancellations, and ESPP purchases.
  • Perform monthly, quarterly, and annual reconciliation of records between equity database and general ledger, HR, Payroll, Board approvals, and tax reporting.
  • Collaborate and partner with Accounting, Payroll, Legal and HR teams to foresee, implement, and address equity compensation initiatives and matters.
  • Facilitate compliance and plan documentation such as: 409A valuations, Rule 701 reporting, and year end tax reporting including forms 3921 & 1099.
  • Assist with automation of routine work streams and manual processes to enable efficient, accurate and timely processing of equity data.
  • Prepare and maintain documentation of equity-related processes for external audits and compliance with internal controls.
  • Manage custom reports and generate both recurring and ad-hoc reports to support the finance team.
  • Assist in preparation of SEC filings, proxy statements, 10b5-1 trading plans, Section 16 reports (Forms 3, 4 and 5) in the future.
  • Respond to employee equity related questions and assist in the development of a central repository of questions and answers for employee self-service as it relates to equity.

You are a strong fit for this role if you have:

Required Competencies

  • 3+ years equity administration experience, ideally with both private and public companies
  • Knowledge of various types of equity awards (ISO, NSO, RSU, ESPP, etc.) and tax implications
  • Understanding of U.S. GAAP accounting and SEC regulations as it relates to equity/stock administration, including knowledge of ASC 718 – stock compensation.
  • Bachelor’s in related field

Preferred Competencies

  • Active ECA (Equity Compensation Associate) or CEP (Certified Equity Professional)
  • Experience performing stock plan administration tasks in Carta or Shareworks

We feel passionately about equal pay for equal work, and transparency in compensation is one vehicle to achieve that. Total compensation for this role is market competitive, including a base salary range of $85,000-$111,250, as well as company stock options.
